Terms of Service

These Terms of Service (“Terms”) govern your access to and use of PrepFlow, a catering operations platform operated by Medz Ventures Inc (“we,” “us,” or “our”), available at prepflow.io. By creating an account or using the service, you agree to these Terms.

1. The Service

PrepFlow provides software tools for catering and food service businesses, including recipe management, job and delivery tracking, client and team management, SMS/email notifications, and reporting. The features available depend on your subscription plan and role.

2. Account

You must provide accurate account information and keep it current. You are responsible for activity under your account and for keeping your credentials secure. You must be at least 18 years old (or the age of majority in your jurisdiction) to use PrepFlow.

3. Acceptable Use

You agree not to:

• Use PrepFlow to send unsolicited or unlawful messages, or to send SMS without proper consent from recipients.
• Interfere with the operation of the service, attempt to bypass security measures, or access data not belonging to your organization.
• Resell or sublicense PrepFlow without written permission.
• Use the service in a manner that violates applicable law or the rights of others.

4. Payment

Paid plans are billed in advance on a monthly or annual basis, depending on the plan you choose. Fees are non-refundable except where required by law. We may change pricing with reasonable notice; continued use after a price change constitutes acceptance.

5. Customer Data

You retain all rights to the data you submit to PrepFlow (“Customer Data”). You grant us a limited license to process that data solely to provide the service. We handle Customer Data as described in our Privacy Policy.

6. Third-Party Services

PrepFlow integrates with third-party services (Twilio, Resend, Mapbox, Clerk, and others) to provide certain features. Your use of those features is also subject to the third party's terms. We are not responsible for third-party failures outside our control.

7. Termination

You may cancel your subscription at any time from your account settings or by contacting support. We may suspend or terminate access for material breach of these Terms, non-payment, or abusive behavior, with reasonable notice where feasible.

8. Disclaimers

The service is provided “as is” and “as available,” without warranties of any kind. We do not guarantee that the service will be error-free or uninterrupted. Any AI-generated content (summaries, parsed checklists, scoring) is advisory and should be reviewed before use.

9. Limitation of Liability

To the maximum extent permitted by law, Medz Ventures Inc's total liability for any claim arising from the service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

10. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Los Angeles County, California.

11. Changes

We may update these Terms. Material changes will be posted here with an updated effective date and, where required, notice to account owners.
